President Biden Opposes The Acquisition of U.S. Steel – Merger Arbitrage Mondays

The largest week-over-week spread change last week occurred with acquisition of United States Steel (X) by Nippon Steel (NISTF), which saw its spread expand from 15.94% to 41.57%. In fact the stock is now trading below where it was before the merger with Nippon Steel was announced but still well above where it was when rumors of a deal surfaced and a bidding war for the company began.

US Steel Spread Change History

There were two reasons I was initially not interested in the deal. The first was that U.S. Steel is well known in the industry for being poorly managed and I did not want to get stuck with the company in the event the deal failed. The second had to do with the cross-border nature of the deal and the protectionist sentiment that appears to be sweeping most countries these days.

There was a time when the U.S. allowed a Chinese firm to buy the largest pork producer in the world Smithfield Foods, the UK allowed Indian conglomerate Tata to buy Jaguar Land Rover (from Form Motor) and the EU allowed Mittal Steel to buy Arcelor SA to create the steel giant ArcelorMittal (MT). Those days are long behind us.

What we have seen in the recent past is the UK creating delays for Illumina’s acquisition of PacBio (PACB) and Microsoft’s acquisition of Activision Blizzard and the U.S. killing the acquisition of Lattice Semiconductor (LSCC) by Chinese PE firm Canyon Bridge Capital Partners. There are also tariffs introduced in specific sub-industries (solar panels for example) or outright bans on the export of specific components.

In this environment, some arbitrageurs felt that considering Japan is an ally of the United States, the acquisition of United States Steel by Nippon Steel might not run into issues with CFIUS and the U.S. government will allow the deal to close. That theory was soon laid to rest when President Biden came out in opposition of the deal last Thursday. In the election year when rhetoric is expected to ramp up, this kind of opposition was almost a foregone conclusion. It is still possible that once the election is over this year and the dust settles, the deal is allowed to go through.

I think that the expected completion date of Q3 2024 is too optimistic and if the deal does close, it will be closer to the first extension of the outside date, which was set to March 18, 2025 in the merger agreement. While I think the risk/reward on this deal is closer to what I would have expected, it isn’t quite where I want it to be. I wrote the following in my article discussing the positions of concentrated arbitrage focused funds in Q4 2023:

In a move that was surprising to me, four funds also decided to start a position in Nippon Steel’s (NISTF) all cash acquisition of United States Steel (X) for $55 per share. They join another fund that already had a position in Q3 2023 and decided to increase its stake by 32% to make it their top position. Three out of these five funds also hold put options on U.S. Steel, potentially to hedge against the risk of this cross-border deal failing. The deal trades at a spread of 20.14% or 32.96% annualized if it can close by Q3 2024.

The spread on the deal is now 41.57% and $37 June 2025 put options last traded at $4.18 per contract.

New Deals:

  1. ETRNThe acquistion of Equitrans Midstream (ETRN) by EQT (EQT) for a closing value of $9.1 billion in an all stock transaction. Under the terms of the merger agreement, each outstanding share of Equitrans common stock will be exchanged for 0.3504 shares of EQT common stock.
  2. SCX:  The acquisition of L.S. Starrett Company (SCX) by MiddleGround Capital for $132.46 million or $16.19 per share in cash on March 11, 2024.

Approvals: 

  1. SIX: On March 12, 2024, shareholders of Six Flags Entertainment Corporation (SIX) approved the company’s merger with Cedar Fair (FUN) at a special meeting of shareholders.
  2. KRTX: On March 12, 2024, Shareholders of Karuna Therapeutics (KRTX) approved the company’s merger with Bristol-Myers Squibb Company (BMY) at a special meeting of shareholders.
  3. SPLK:  As per Reuters, Cisco (CSCO) gains approval by the European Commission for the Splunk (SPLK) acquisition deal on March 14, 2024.

Hurdles:

  1. ACI: On March 11, 2024, as per Reuters, U.S. District Judge Adrienne Nelson set August 26, 2024 as the start of a hearing on the Federal Trade Commission’s bid for a preliminary injunction to block supermarket chain Kroger’s (KR) $24.6 billion deal to buy Albertsons (ACI).
  2. X: On March 13, 2024, according to Bloomberg, President Joe Biden is expected to soon release a statement of concern about Nippon Steel Corp.’s proposed purchase of United States Steel Corp. (X).
  3. X: On March 14, 2024,  according to Bloomberg, Nippon Steel Corp. has affirmed its commitment to finalize the purchase of United States Steel Corp.(X), following President Joe Biden’s declaration urging the company to remain under American ownership.

Updates:

  1. FNCB: On March 13, 2024, Peoples Financial Services Corp (PFIS) and FNCB Bancorp (FNCBannounced that their merger is expected to be completed in the third quarter of 2024.
  2. AEL: On March 13, 2024, Brookfield Reinsurance (BNREannounced the hearing date of April 5, 2024 for the  acquisition of American Equity Investment Life Holding Company (AEL).
  3. KRTX: On March 14, 2024, Karuna Therapeutics (KRTX) and Bristol-Myers Squibb Company (BMYannounced that their merger is expected to be completed on March 18, 2024.
  4. ANSS: On March 14, 2024, Ansys (ANSS) and Synopsys (SNPSfiled s4 with the SEC. On February 28, 2024, Synopsys withdrew its HSR notification and refiled it on March 1, 2024. The waiting period is scheduled to expire on April 1, 2024.
  5. AYX: Shareholders of Alteryx (AYX)  approved the company’s merger with Clearlake Capital and announced that their merger is expected to be completed on March 19, 2024.
  6. SPLK: On March 15, 2024, Cisco (CSCO) and Splunk (SPLK) received a Nasdaq delisting notice and that the merger is tentatively scheduled to close prior to the market open on March 18, 2024.

Shareholders Meeting Schedule:

  1. X: On March 12, 2024, United States Steel (Xannounced that the special meeting of shareholders will be held on April 12, 2024.

Closed Deals:

  1. HARP:  The acquisition of Harpoon Therapeutics (HARP) by Merck & Co. (MRK) was completed on March 11, 2024. It took 63 days for this deal to be completed.
  2. SNCE: The acquisition of Science 37 Holdings (SNCE) by eMed was completed on March 12, 2024. It took 43 days for this deal to be completed.
  3. SOVO: The acquisition of Sovos Brands (SOVO) by Campbell Soup Company (CPB) was completed on March 12, 2024. It took 218 days for this deal to be completed.
  4. TGH: The acquisition of Textainer Group Holdings Limited (TGH) by Stonepeak was completed on March 14, 2024. It took 144 days for this deal to be completed.

Deals In The Works

  1. BALY: According to a 13D filing,  Standard General submitted a non-binding letter to Bally’s (BALY) proposing a transaction under which it would acquire all of the outstanding shares of Common Stock not currently owned by Standard General at a price of $15.00 per share.
  2. HCP: According to Bloomberg, HashiCorp (HCP), a provider of software that helps companies operate in the cloud, has been considering options including a sale.
  3. NVEI: According to WSJ, Nuvei (NVEI) the Canadian payments processor backed by actor Ryan Reynolds, is in advanced talks with private equity firm Advent International for a buyout.

Update

  1. RCM: R1 RCM Inc. (RCM) announced the formation of a special committee comprised solely of independent directors to evaluate strategic alternatives in response to the Schedule 13D/A filed by New Mountain Capital on February 26, 2024.
  2. BALY: Bally’s Corporation (BALY) announced that it has formed a special committee to evaluate the preliminary, non-binding proposal, dated March 11, 2024, by Standard General.
  3. PARA: Reuters reported that Apollo Global Management (APO) has recently reached out to a special committee formed by Paramount Global (PARA regarding a potential acquisition or asset purchase.
  4. M: According to the proxy filing, Macy’s (M) is open to signing a confidentiality agreement that would grant its suitors, Arkhouse Management Co. and Brigade Capital Management, access to certain information about the business, in an effort to get the investment firms to increase their latest takeover offer.
