Merger Arbitrage

1. AXTA: Akzo Nobel (AKZOF) and Axalta Coating Systems (AXTA) announced that Stephan Tanda, Denise Johnson, and Robert Schuchna have agreed to serve as non-executive Directors of the combined company upon completion of the merger of equals. The combined company Board will be composed of Rakesh Sachdev (Chair), Ben Noteboom (Vice-Chair), Greg Poux-Guillaume (CEO), Chris Villavarayan (Deputy CEO), Jaska de Bakker, Jan Bertsch, Denise Johnson, Wouter Kolk, Robert Schuchna, Kevin Stein, and Stephan Tanda.
2. SUPN: Indivior (INDV) filed Form S-4 for the acquisition of Supernus (SUPN). The companies expect to complete the merger in the fourth quarter of 2026.
3. WBD: Judge Araceli Martínez-Olguín signed the Revised Joint Case Management Statement and Proposed Case Management Order, finalizing the schedule for the consolidated cases brought by the States and WGA. Separately, the States and WGA filed their joint opposition to Paramount’s (PSKY) Bond motion. They said that if the Court does choose to require a bond, they request that it impose only a nominal bond of $10,000.
