
Nielsen Holdings entered a merger agreement on August 6, 2026, to acquire DoubleVerify Holdings, Inc. (DV) in a deal valued at $2.15 billion.
DoubleVerify shareholders will receive $13.6 per share in cash, representing a 16.14% premium from the stock’s last close.
DoubleVerify is a digital advertising software company that provides measurement, verification, and analytics solutions to help advertisers and publishers assess ad quality, optimize campaign performance, and improve media effectiveness across digital channels, including web, mobile, connected TV, and social media.
Nielsen is a media measurement and analytics company that provides audience measurement, advertising, and media intelligence solutions to broadcasters, publishers, advertisers, and agencies across television, streaming, digital, and other media platforms.
The deal is expected to close by the end of the fourth quarter of 2026.
The deal will be financed through a combination of committed debt financing from Barclays, BofA Securities, and Citi, incremental equity financing, and Nielsen’s cash on hand.
Following the transaction, DoubleVerify will become a privately held company and will continue operating under its existing name and brand.
Funds affiliated with Providence Equity Partners, which owned approximately 11.8% of DoubleVerify’s outstanding common shares, have agreed to vote in favor of the deal. Upon closing, Providence will fully exit its investment in the company.
DoubleVerify was advised by PJT Partners on financial matters and by Paul Hastings on legal matters. Nielsen was advised by Barclays on financial matters and by Gibson, Dunn & Crutcher on legal matters.
Nielsen is paying 13.18 times the EBITDA for DoubleVerify.
