Merger Arbitrage

  1. JHG: Victory Capital (VCTR) published an open letter from CEO David Brown to employees of Janus Henderson (JHG). Brown said that Victory’s proposal includes a commitment to retaining Janus Henderson’s investment professionals and preserving the Janus Henderson brand.
  2. WBD: FT reported that the chair of the US media regulator has signalled that the watchdog will not seek to block Paramount’s (PSKY) deal to buy Warner Bros (WBD) and played down competition concerns over a combination of CBS and CNN, the companies’ TV networks. Federal Communications Commission chair Brendan Carr told the FT in an interview at Mobile World Congress in Barcelona that there had been “concerns raised in Washington about the concentration of power” arising from Warner Bros’ previously agreed deal with Netflix (NFLX). But he added that “obviously the level of market share and issue with a Paramount purchase is drastically different”.
  3. FOLD: Shareholders of Amicus Therapeutics (FOLDapproved the company’s merger with BioMarin Pharmaceutical (BMRN) at a special meeting of shareholders. The merger requires approvals from certain European countries and the Japanese competition authority.
