Merger Arbitrage

  1. AES: The acquisition of The AES Corporation (AES) by Global Infrastructure Partners and EQT for a closing value of $33.4 billion. The Consortium of Global Infrastructure Partners (GIP), and the EQT Infrastructure VI fund (EQT), along with co-underwriters California Public Employees’ Retirement System (CalPERS) and Qatar Investment Authority (QIA), will acquire AES for $15 per share in cash, representing a discount of 13.19% from the stock’s last close.   2. SEM: The acquisition of Select Medical Holdings Corporation (SEM) by a co-founder-led consortium for a closing value of $3.9 billion. An entity affiliated with a consortium led by Co-Founder Robert Ortenzio, Senior Executive Vice President of Strategic Finance and Operations, Martin Jackson, and Welsh, Carson, Anderson & Stowe (WCAS) will acquire all of the outstanding shares of common stock of Select Medical for a price per share of $16.5 in cash, representing a 10% premium from the stock’s last close.
