Merger Arbitrage

1. OMIC: Singular Genomics (OMIC) filed the definitive proxy statement for its merger with Deerfield Management. The special meeting of Singular Genomics shareholders to approve the transaction is scheduled to be held on February 19, 2025. The deal is currently expected to be completed during the first quarter of 2025.
2. USAP: Universal Stainless & Alloy Products, Inc. (USAP) announced that its stockholders have voted to approve its acquisition by Aperam S.A. at the special meeting of Universal stockholders. The transaction is expected to close in the first quarter of 2025.
3. SGRP: SPAR Group (SGRP) announced that it received an Amended and Restated Commitment Letter for the financing required under the merger agreement with Highwire Capital extending the commitment Termination Date to February 15, 2025. All other terms and conditions outlined in the Commitment Letter remain unchanged.
