Tres Energy Acquires Adams Resources & Energy for $138.9 Million in Cash

Tres Energy - Adams Resources and Energy Merger

Adams Resources & Energy, Inc. (AE) entered a merger agreement on November 12, 2024, to be acquired by an affiliate of Tres Energy LLC in a deal valued at $138.9 million, including debt.

Details of the Agreement:

Under the terms of this agreement, Adams stockholders will receive $38.00 per share in cash, representing a 34.28% premium from the stock’s last close.

Company Profile:

Adams Resources & Energy is a Houston-based company specializing in crude oil marketing, transportation, storage, and tank truck transport of liquid chemicals and dry bulk, while also recycling and repurposing off-spec fuels and other chemicals through its subsidiaries.

Tres Energy is a private company focused on investing in and operating strategic energy assets across the United States. Its activities include managing oil and gas production in key regions like the Permian Basin and Marcellus Shale, as well as operating natural gas power plants to support the Texas ERCOT grid during peak demand periods.

Deal Details and Timeline:

Once the transaction is complete, which is expected in the first quarter of 2025, Adams’ shares will cease trading on the NYSE American, and it will transition to a privately held company.

Tres Energy, in this deal, is paying 2.76 times EBITDA for Adams Resources & Energy.
