Merger Arbitrage

1. ACI: The trial where U.S. anti-trust regulators made their case to block Kroger’s (KR) bid to buy rival grocer Albertsons (ACI) will conclude on Tuesday, but there are two more trials for the companies to go through.
2. EXAI: Recursion (RXRX) filed the preliminary proxy statement for its acquisition of Exscientia (EXAI). The companies expect the merger to be completed in early 2025.
3. CALT: Calliditas (CALT) announced that on September 13, 2024, the U.S. Offering Period expired as scheduled. As a result, upon settlement of the U.S. Offering Period and the concurrent offering period of the Swedish Offer, Asahi Kasei will own over 53 million shares, corresponding to a total of 98.38% of the outstanding shares.
