Merger Arbitrage

1. EVBN: The acquisition of Evans Bancorp, Inc. (EVBN) by NBT Bancorp Inc. (NBTB) for $236 million in an all-stock deal. As per the terms of the merger agreement, NBT will acquire 100% of the outstanding shares of Evans , with Evans shareholders receiving 0.91 NBT shares for each Evans share.
2. SQSP: Squarespace (SQSP) and Permira announced that they have agreed to amend their definitive agreement. Under the terms of the amended agreement, Squarespace stockholders will receive $46.50 per share in cash and an aggregate transaction value of approximately $7.2 billion.
3. SHCR: Sharecare (SHCR) filed the preliminary proxy statement for its merger with Altaris. The companies expect the merger to be completed in the second half of 2024.
