Merger Arbitrage

1. DO: The acquisition of Diamond Offshore Drilling, Inc. (DO) by Noble Corporation plc (NE) for a closing value of $2.15 billion in a cash plus stock deal. Under the terms of the agreement, Diamond Offshore shareholders will receive 0.2316 Noble Corporation shares and $5.65 per share in cash for each Diamond share (representing $600 million total cash paid to Diamond shareholders on a fully-diluted basis).
2. MTTR: CoStar (CSGP) in Form S-4 announced that Matterport (MTTR) will hold a special meeting of its stockholders on July 26, 2024.
3. MGRC: McGrath RentCorp (MGRC) filed a definitive proxy statement. The special meeting of shareholders will be held on July 11, 2024.
