Emerson Electric (EMR), which holds 57.4% of Aspen Technology (AZPN), submitted a proposal to acquire all of the outstanding shares of common stock of Aspen that Emerson does not already own for a purchase price of $240 per share in cash.

In 2021, Emerson was in talks with Aspen for a potential merger. But the talks ended with Emerson’s OSI Inc. and the Geological Simulation Software business going to Aspen.

November 20, 2024: Aspen Technology (AZPN) announced that its Board has formed a special committee composed of three independent directors to consider the non-binding proposal from Emerson Electric (EMR). Emerson and its affiliates own 57.4% of the Company’s outstanding common shares. The Special Committee is composed of Board Chair Robert Whelan, Jr., who will serve as Chair of the Special Committee, Arlen Shenkman, and David Henshall.
