April 16, 2024: Ducommun Incorporated (DCO) rejects an unsolicited, non-binding indication of interest dated April 1, 2024, from Albion River to acquire all outstanding shares of Ducommun for $60.00 per share in cash. Following that review, the Board of Directors concluded that the company’s previously disclosed Vision 2027 Strategy reflects a substantially better long-term value creation opportunity for Ducommun’s shareholders.

July 18, 2024: Ducommun (DCO) announced that on July 15, 2024, the company’s Board received an unsolicited revised bid from Albion River to acquire all outstanding shares of Ducommun for $65.00 per share in cash. It added that the Board will carefully review and consider the revised proposal to determine if it is in the best interest of the company and Ducommun’s shareholders.

July 25, 2024: Ducommun Incorporated (DCO) rejected the unsolicited revised bid from Albion River as it was not in the best interests of the company and its shareholders. The Board believes that Albion’s offer significantly undervalues Ducommun’s long-term value for shareholders.
