Merger Arbitrage
- UNF: Cintas (CTAS) announced that on October 2, the companies certified to the FTC that they have substantially complied with the Second Request. They entered into a timing agreement with the FTC under which Cintas and UniFirst (UNF) agreed not to consummate the merger before December 11, 2026, unless they have received written notice from the FTC before then that the FTC has closed its investigation. On July 2, the companies received a Supplementary Information Request (SIR) from the Canadian Competition Bureau (CCB), which they completed on September 29.
- DSGR: Distribution Solutions (DSGR) announced that Eclipse Acquisitions Merger Sub, a newly formed corporation controlled by LKCM Headwater, priced the offering of $800 million of its 10% Senior Notes due 2032. The offering amount was increased to $800 million from $700 million.
- ATKR: Shareholders of Atkore (ATKR) approved the company’s merger with Prysmian at a special meeting of shareholders.
