Viatris to Acquire Pacira BioSciences for $1.65 Billion

Viatris - Pacira BioSciences Merger

Viatris Inc. (VTRS) entered into a merger agreement on October 8, 2026, to acquire Pacira BioSciences, Inc. (PCRX) for $1.65 billion.

Deal Structure:

Viatris will commence a tender offer to acquire all of the outstanding shares of Pacira’s common stock for $36.50 per share in cash, representing a premium of 44.84% over the stock’s last close.

Company Profile:

Pacira BioSciences is a specialty pharmaceutical company focused on developing and commercializing non-opioid pain management therapies, including EXPAREL and ZILRETTA, for surgical and osteoarthritis-related pain. The company also develops clinical-stage therapies for musculoskeletal pain, including its lead gene therapy candidate, PCRX-201.

Viatris is a pharmaceutical company that develops, manufactures, and distributes branded, generic, complex generic, and biosimilar medicines across a broad range of therapeutic areas. The company serves healthcare providers, pharmacies, governments, and institutional customers across developed and emerging markets.

Deal Details and Timeline:

The deal is expected to close by the end of 2026.

Pacira BioSciences was financially advised by Goldman Sachs, with legal counsel provided by Ashurst Perkins Coie. Viatris received financial advice from Morgan Stanley and Centerview Partners, while Cravath, Swaine & Moore served as its legal counsel.

The acquisition price reflects 13 times EBITDA of Pacira BioSciences.
