
SoundThinking, Inc. (SSTI) entered a merger agreement on September 29, 2026, to be acquired by Transom Capital Group for $159 million.
Transom will commence a tender offer to acquire SoundThinking for $8 per share in cash, representing a premium of 46.25% over the stock’s last closing price.
Shareholders will also receive one non-transferable CVR, which entitles each holder to receive up to an additional $3 per share in cash, payable upon achievement of certain revenue milestones attached to the ShotSpotter and SafePointe products.
SoundThinking is a public safety technology company that provides gunshot detection, crime intelligence, investigative, resource allocation, and security solutions to law enforcement agencies, municipalities, universities, and corporate customers. Its platform includes ShotSpotter, CrimeTracer, CaseBuilder, ResourceRouter, SafePointe, and PlateRanger.
Transom is a private equity firm that invests in middle-market companies, with a focus on complex situations, corporate carve-outs, and undervalued businesses. The firm provides capital and operational support to improve business performance and drive value creation. Transom manages roughly $1.7 billion in regulatory assets under management.
The merger is expected to close in the fourth quarter of 2026.
Transom has entered into tender and support agreements with Veradace Partners and Gary Lauder and his affiliated entities, which beneficially own approximately 16% and 17%, respectively, of SoundThinking’s outstanding common stock. Both shareholders have agreed to tender all of their shares in the tender offer.
Lauder and his affiliated entities have also agreed to invest in and maintain an equity position in the go-forward company. They will also retain the CVRs attributable to their SoundThinking shares.
SoundThinking received financial advice from Tidal Partners and legal advice from Cooley. Transom received legal advice from Kirkland & Ellis.
Transom is acquiring SoundThinking at 0.72 times its sales.
