Merger Arbitrage

  1. SSTI: The acquisition of SoundThinking, Inc. (SSTI) by Transom Capital Group for a closing value of $159 million. Transom will commence a tender offer to acquire SoundThinking for $8 per share in cash, representing a premium of 46.25% over the stock’s last closing price. Shareholders will also receive one non-transferable CVR, which entitles each holder to receive up to an additional $3 per share in cash, payable upon achievement of certain revenue milestones attached to the ShotSpotter and SafePointe products.   2. ACVA: Copart (CPRT) announced that on September 28, it voluntarily withdrew its Premerger Notification and Report Form under the HSR Act. Copart refiled its premerger notification on September 28, 2026.
  3. ZIM: Bloomberg reported that Israel’s finance ministry said it objected to the sale of ZIM Integrated Shipping Services (ZIM) to Hapag-Lloyd, partly because of Saudi Arabian and Qatari holdings in the German company. The Israeli finance ministry noted the “involvement of hostile shareholders” as one of several factors, adding that “the governments of Qatar and Saudi Arabia hold shares in Hapag.”
