
Copart, Inc. (CPRT) entered a merger agreement on September 10, 2026, to acquire ACV Auctions, Inc. (ACVA) in a deal valued at $1.90 billion.
Copart, through a subsidiary, will promptly launch a tender offer to acquire all outstanding shares of ACV common stock for $10.50 per share in cash, a 45.43% premium over the stock’s last closing price.
ACV Auctions is a digital marketplace for wholesale used vehicle auctions, connecting buyers and sellers through its online platform. The company also provides vehicle inspection, valuation data, transportation, and financing services.
Copart is a global provider of online vehicle auctions focused primarily on the resale and disposition of damaged, salvage, and end-of-life vehicles. The company operates a network of vehicle processing facilities and serves insurers, dealers, dismantlers, exporters, and other buyers.
Last month, Bloomberg reported that ACV was exploring strategic options, including a potential sale after receiving takeover interest. The stock was trading at $7.26 before it was reported that the company was working with financial advisers to conduct the review.
Copart intends to fund the transaction using cash on hand.
The deal is expected to close by year-end 2026.
ACV will become an independent subsidiary under Copart and will continue to be led by its current leadership team.
J.P. Morgan Securities served as financial advisor, and Davis Polk & Wardwell served as legal advisor to ACV. Evercore provided financial advice to Copart, while Wilson Sonsini Goodrich & Rosati served as its legal counsel.
Copart is paying 1.58 times sales for ACV Auctions.
