Merger Arbitrage

1. ACVA: The acquisition of ACV Auctions, Inc. (ACVA) by Copart, Inc. (CPRT) for a closing value of $1.9 billion. Copart, through a subsidiary, will promptly commence a tender offer to acquire all outstanding shares of ACV common stock for $10.50 per share in cash, a 45.43% premium over the stock’s last closing price. Last month, Bloomberg reported that ACV was exploring strategic options, including a potential sale after receiving takeover interest. (Press Release)
2. LXFR: Luxfer (LXFR) announced that the waiting period under the HSR Act expired on September 8, 2026.
3. SUPN: Indivior (INDV) filed Form S-4 for the acquisition of Supernus (SUPN). The special meeting of shareholders will be held on October 15, 2026.
