Amazon.com to Acquire Globalstar in a $11.68 Billion Deal

Amazon.com, Inc. (AMZN) entered a merger agreement on April 14, 2026, to acquire Globalstar, Inc. (GSAT) in a deal valued at $11.68 billion.

Deal Structure:

Globalstar stockholders will elect to receive either $90 in cash or 0.3210 shares of Amazon common stock for each share of Globalstar common stock they own, with a cap of $90 per share. The cash consideration is at a premium of 23.47% from the stock’s last close.

This consideration is subject to a proration mechanism that caps aggregate cash elections to a maximum of 40% of total Globalstar shares, and automatically converts excess cash consideration into stock consideration on a pro rata basis.

The total transaction consideration is also subject to a downward adjustment of a maximum of $110 million in the event Globalstar does not achieve certain operational milestones.

Company Profile:

Globalstar is a satellite communications company that provides mobile voice, data, and IoT connectivity services using its low Earth orbit satellite network and licensed spectrum. It serves consumer, enterprise, and government customers with applications such as asset tracking, emergency communication, and remote connectivity.

Amazon is a technology and retail company that sells consumer products and subscriptions through online and physical stores and provides cloud computing services through AWS. It also develops devices, digital content, and services for consumers, businesses, and developers.

Deal Details and Timeline:

In October last year, Bloomberg reported that Globalstar was exploring a potential sale. The stock was trading at $41.54 when Globalstar held early talks with Elon Musk’s SpaceX, among other potential suitors.

Amazon will acquire Globalstar to add direct-to-device (D2D) capabilities to its low Earth orbit satellite network, Amazon Leo, and expand cellular coverage beyond areas served by terrestrial networks.

Amazon will acquire Globalstar’s satellite operations, infrastructure, and assets, including its MSS spectrum licenses. Globalstar’s existing and upcoming satellites will operate alongside the Amazon Leo broadband network and its planned direct-to-device system.

Amazon and Apple (AAPL) have also agreed to provide satellite connectivity for current and future iPhone and Apple Watch features. Globalstar currently supports satellite services on newer iPhones and Apple Watch models, enabling users to send emergency messages, contact others, request roadside help, and share their location.

Under the new agreement, Amazon will continue supporting these services using Globalstar’s existing and planned satellites, while working with Apple to develop future features using the expanded Amazon LEO network.

Stockholders representing about 58% of Globalstar’s voting power have approved the transaction through written consent.

The deal is expected to close in 2027.

Amazon.com is paying 37.11 times sales for Globalstar.
