
Avanos Medical, Inc. (AVNS) entered a merger agreement on April 14, 2026, to be acquired by affiliates of American Industrial Partners in a deal valued at $1.27 billion.
Avanos stockholders will receive $25 per share in cash for each share of common stock they own, representing a premium of 72.06% from the stock’s last close.
Avanos is a medical device company that develops and sells products for digestive health, respiratory care, and non-opioid pain management across global markets. It primarily serves hospitals and healthcare providers with chronic care and surgical recovery solutions.
American Industrial Partners is a private equity firm with roughly $17.5 billion in assets under management that invests in industrial and engineered products businesses through buyouts, divestitures, and recapitalizations.
The deal is expected to close in the second half of 2026.
Avanos will continue to maintain its headquarters in Alpharetta, Georgia.
J.P. Morgan Securities is the main financial advisor to Avanos, and Alston & Bird is its legal advisor. UBS Investment Bank also provided financial advice. For AIP, Sidley Austin is acting as legal advisor.
American Industrial Partners is purchasing Avanos at 21.78 times its EBITDA.
