
ReNew Energy Global Plc (RNW) entered into a scheme of arrangement on August 11, 2026, to be acquired by a consortium led by the Canada Pension Plan Investment Board and ReNew CEO Sumant Sinha for $10.2 billion.
ReNew shareholders will be entitled to receive $7.02 per share in cash, representing a 14.52% premium over the stock’s last close.
The shareholders may also elect to retain their shares and remain a shareholder of the company.
ReNew Energy Global is an India-based renewable energy company that develops, builds, owns, and operates wind and solar power projects. It also provides engineering, construction, maintenance, and consultancy services and sells renewable energy certificates.
CPP Investments is a global institutional investor that manages the assets of the Canada Pension Plan, with $793.3 billion in AUM. The organization invests across public and private equities, real estate, infrastructure, and fixed income markets worldwide.
Last year, the consortium submitted a non-binding proposal to the special committee of the ReNew Board, proposing to acquire all the shares for $8 per share. The stock was trading at $6.92 before the offer was made.
The company and the consortium were going back and forth on the pricing for a year, and finally, last month, CPP and CEO Sinha offered $7.02 per share in cash.
It is anticipated that the merger will be finalized in the first quarter of 2027.
Rothschild advised ReNew on the financial side of the deal. Citi provided financial advice to CPP and CEO Sinha. Linklaters provided legal advice to ReNew, while Freshfields, Anagram Partners, and Akin Gump Strauss Hauer & Feld advised the consortium.
The purchase price represents 11.21 times the EBITDA of ReNew.
