Italy’s Prysmian to Acquire Atkore in a $3.8 Billion Cash Deal

Prysmian - Atkore Merger

Atkore Inc. (ATKR) entered into a merger agreement on August 3, 2026, to be acquired by Italy’s Prysmian S.p.A. in a deal valued at $3.8 billion.

Deal Structure:

Atkore shareholders will receive $95 per share in cash for each share of Atkore common stock, representing a 30.21% premium from the stock’s last close.

Company Profile:

Atkore is a manufacturer of electrical, safety, and infrastructure products used in commercial, industrial, utility, data center, and construction applications. Its portfolio includes conduits, cables, cable management systems, metal framing, and mechanical piping, which are sold primarily through contractors, distributors, and original equipment manufacturers (OEMs).

Prysmian is an Italy-based manufacturer of power and telecommunications cables and systems for energy transmission, distribution, and digital connectivity. The company supplies cable solutions for utilities, telecommunications networks, renewable energy projects, and industrial applications across more than 50 countries.

Deal Details and Timeline:

Last year, Irenic Capital built a 2.5% stake in the electrical manufacturing company, Atkore, and was urging it to pursue a potential sale process.

The acquisition is targeted to close by year-end 2026.

The deal will be financed through a combination of debt, including hybrid bonds, and equity, including the disposal of treasury shares, with the aim of preserving Prysmian’s investment-grade credit profile.

Atkore was advised by Citi and J.P. Morgan Securities on financial matters, while Debevoise & Plimpton provided legal advice.

Prysmian is paying 10.27 times the EBITDA of Atkore.
