Merger Arbitrage
- WBD: The NYT reported that California’s attorney general canceled a meeting with representatives of Paramount (PSKY) that was scheduled for Monday, August 24, to begin discussing a settlement of the state’s lawsuit seeking to block Paramount’s acquisition of Warner Bros. Discovery (WBD). Rob Bonta, the attorney general, called off the meeting late Sunday, accusing Paramount of acting in bad faith. Bonta accused Paramount of leaking details of a meeting the parties held on Friday.
- UTZ: Utz Brands (UTZ) filed the preliminary proxy statement for its acquisition by Intersnack Group. The company expects the merger to be completed in the fourth quarter of 2026.
- NCSM: Weatherford (WFRD) and NCS Multistage (NCSM) announced that August 31 is the anticipated deadline for NCS stockholders to elect the form of merger consideration that they would be entitled to receive at closing. The deal is expected to close on September 1, 2026.
