Merger Arbitrage
- LEG: Leggett & Platt (LEG) announced that its shareholders voted to approve the merger with Somnigroup International (SGI).
- LPSN: LivePerson (LPSN) announced that its special meeting of stockholders, scheduled for August 20, was adjourned to September 2, 2026. The company said that while over 97% of LivePerson shares casting votes to date have been in favor of the merger with SoundHound AI (SOUN), the transaction can only be completed once a majority of all outstanding shares have been voted, “a threshold we are currently only a few percentage points away from reaching.”
- RMAX: Real Brokerage (REAX) and RE/MAX (RMAX) announced the preliminary results of elections made by RE/MAX stockholders regarding the form of merger consideration to be received. Holders of 18.49 million shares of REMAX Class A stock elected to receive cash. Because the aggregate cash elected exceeded the available maximum aggregate cash amount of $80 million, each cash-electing share will receive a combination of cash (about $4.33 per share) and Real REMAX stock (roughly 0.3535 shares of Real REMAX). All other shares of REMAX elected to receive stock.
