
Weatherford International plc (WFRD) entered a merger agreement on June 1, 2026, to acquire NCS Multistage Holdings, Inc. (NCSM) in a deal valued at $113.78 million.
NCS Multistage stockholders can elect to receive either 0.554 shares of Weatherford common stock or a combination of 0.239 shares of Weatherford common stock and a cash amount equal to 0.137 shares of Weatherford common stock, subject to proration.
The all-stock option values NCS at $57.42 per share, while the cash plus stock option values it at about $38.97 per share.
The all-stock value represents a premium of 35.48% from the stock’s last close.
Overall, NCS shareholders are expected to receive the equivalent of 0.463 shares of Weatherford common stock for each share they own, with up to 19.99% of the total payment made in cash.
NCS Multistage is an oilfield services company that provides engineered completion products, fracturing systems, and diagnostic services used in the construction and completion of oil and natural gas wells. The company primarily serves exploration and production operators in North America and selected international markets.
Weatherford is an oilfield services company that provides equipment, technology, and services for the drilling, completion, production, and intervention of oil, natural gas, and geothermal wells. The company operates globally across the well lifecycle, serving energy producers in both onshore and offshore markets.
The merger is expected to close in the second half of 2026.
Weatherford and NCS Multistage will continue to operate as separate and independent companies.

Weatherford is paying 8.88 times the EBITDA for NCS Multistage.
