Merger Arbitrage

1. UNF: UniFirst (UNF) announced that at its special meeting, the majority of shareholders voted to approve the acquisition by Cintas (CTAS). The company continues to expect the deal to close in the second half of 2026.
2. WBD: The Antitrust Division of the U.S. Department of Justice completed its analysis of the merger of Paramount Skydance (PSKY) and Warner Bros. Discovery (WBD) and determined that the deal is not likely to result in harm to competition or American consumers, including with respect to: streaming video on demand (SVOD); linear television; and studio development, production, or distribution of films for theatrical release.
3. XOMA: XOMA Royalty (XOMA) announced that its Board has authorized cash dividends to holders of 8.625% Series A Cumulative Perpetual Preferred Stock and depositary shares representing its 8.375% Series B Cumulative Perpetual Preferred Stock. Holders of Series A Preferred Stock shall receive a cash dividend equal to $0.54 per share. Holders of Series B Preferred Stock shall receive a cash dividend equal to $0.52 per depositary share.
