
Taylor Morrison Home Corporation (TMHC) entered a merger agreement on May 31, 2026, to be acquired by Berkshire Hathaway Inc. (BRK.A) (BRK.B) in a deal valued at $8.5 billion.
Taylor Morrison stockholders will receive $72.50 per common share in cash, representing a 23.93% premium from the stock’s last close.
Taylor Morrison is a U.S. homebuilder and community developer that designs, builds, and sells single-family and multi-family homes, develops master-planned communities, and provides related title, settlement, and financial services across multiple states.
Berkshire Hathaway is a diversified holding company with operations across insurance, freight rail transportation, energy and utilities, manufacturing, distribution, retail, and service businesses through a broad portfolio of subsidiaries worldwide.
Taylor Morrison will continue to be led by Taylor Morrison’s existing management team, including Chief Executive Officer Sheryl Palmer.
The acquisition is expected to close in the second half of 2026.
Goldman Sachs and Moelis & Co acted as financial advisors for Taylor Morrison, while Simpson Thacher & Bartlett and Mayer Brown provided legal counsel.
Berkshire Hathaway is acquiring Taylor Morrison at 10.13 times its non-GAAP earnings.
