Arcline Investment Management to Acquire AstroNova, Inc. in a Cash Deal Valued at $272 Million

Arcline Investment - AstroNova Merger

Arcline Investment Management has announced a merger agreement with AstroNova, Inc. (ALOT) in a deal valued at $272 million.

Deal Structure:

Under the terms of the agreement, AstroNova shareholders will receive $29.00 per share in cash.  This represents a 73.76% premium on AstroNova, Inc.’s last closing price.

In the event of a termination of the merger agreement by either party, a termination fee amounting to $9.648 million will be payable.

The outside date has been set as November 17, 2026.

AstroNova is a leading provider of mission-critical identification and marking solutions in aerospace & defense and labeling & packaging, amongst other industries. The Company designs, manufactures, distributes, and services solutions that enable customers to identify, track, and communicate essential system, product, and safety information across a wide range of applications and media.

Deal Details and Timeline:

The merger is expected to close by September 2026.

AstroNova, Inc. enlisted the services of Rockefeller Capital Management as financial advisors, and Foley Hoag as their legal advisor. Arcline Investment Management sourced financial guidance from Mesirow and legal counsel from Bass, Berry & Sims.

Arcline Investment Management is acquiring AstroNova, Inc. at 0.84 times the sales and 15.25 times EBITDA.
