Merger Arbitrage

1. SLAB: Silicon Labs (SLAB) announced that the waiting period under the HSR Act for the merger with Texas Instruments (TXN) expired May 22, 2026.
2. WBD: NYT reported that Rob Bonta, California’s attorney general, has said that the Paramount (PSKY) – Warner Bros. Discovery (WBD) deal raises “red flags everywhere.” Last week, during a meeting with Hollywood heavyweights including the actor Mark Ruffalo and the documentary filmmaker Alex Gibney, Bonta said his office has not made a “final decision” about whether to sue.
3. XOMA: XOMA Royalty Holdings Corporation, a wholly owned subsidiary of XOMA Royalty (XOMA), filed Form S-4 for the acquisition by Ligand Pharmaceuticals Incorporated (LGND). The companies expect to complete the merger in the third quarter of 2026.
