SoundHound AI to Acquire LivePerson for $250 Million

SoundHound AI, Inc. (SOUN) entered a merger agreement on April 21, 2026, to acquire LivePerson, Inc. (LPSN) for $250 million.

Deal Structure:

SoundHound is acquiring LivePerson for an equity value of $43 million.

Based on this value, the per-share price is assumed to be $3.57, representing a 7.21% premium from the stock’s last close.

Company Profile:

LivePerson is a provider of conversational AI and messaging software that enables businesses to interact with customers through digital channels. It offers a cloud-based platform and related services to enterprise clients across industries globally.

SoundHound AI is a developer of voice and conversational AI software that enables businesses to build and deploy voice assistants and automated customer interaction systems. It provides a platform with tools for speech recognition, natural language processing, and voice-enabled applications across industries.

Deal Details and Timeline:

SoundHound expects to receive $74 million of LivePerson’s cash balance before repayment of the 2026 Convertible Senior Notes.

After taking into account significant discounts on LivePerson’s remaining debt, the transaction implies a total enterprise value of $250 million. At closing, SoundHound will retire the discounted debt with a mix of cash and equity.

The combination brings together SoundHound’s voice and agentic AI platform with LivePerson’s digital engagement capabilities, which support about a billion customer messages per month.

The combined company will serve customers in more than 30 countries, including many of the world’s largest banks, airlines, automakers, and telecommunications providers.

The deal is expected to close in the second half of 2026.

Lazard served as financial advisor, and Fried, Frank, Harris, Shriver & Jacobson acted as legal counsel to LivePerson. Barclays served as financial advisor, and Latham & Watkins acted as legal counsel to SoundHound AI.

SoundHound AI is paying 0.10 times sales for LivePerson.
