Merger Arbitrage

1. EHAB: The Federal Trade Commission granted early termination of the waiting period under the HSR Act for the acquisition of Enhabit (EHAB) by Kinderhook. The deal is expected to close in the second quarter of 2026.
2. SSTK: The UK’s Competition and Markets Authority proposed that Shutterstock (SSTK) sell its entire editorial business to get approval for the merger with Getty Images (GETY). The CMA is consulting on the proposals after finding that the purchase would dent competition and adversely affect the choices available to media outlets in the UK.
3. FORA: Bravo Merger Sub, Inc. commenced the tender offer to acquire Forian (FORA) for $2.17 per share in cash. The offer will expire on May 14, 2026.
