Blue Owl to Acquire Sila Realty Trust in a $2.4 Billion Cash Deal

Blue Owl - Sila Realty Trust Merger

Sila Realty Trust, Inc. (SILA) entered a merger agreement on April 20, 2026, to be acquired by Blue Owl Capital Inc. (OWL) in a deal valued at $2.4 billion.

Deal Structure:

Certain affiliates of Blue Owl Real Estate Capital will acquire all outstanding shares of common stock of Sila Realty Trust for $30.38 per share in an all-cash transaction, representing a premium of 19% from the stock’s last close.

Company Profile:

Sila Realty Trust is a U.S.-based healthcare-focused net lease REIT that owns and leases medical properties to generate rental income. As of March 2026, it owned 137 properties across 65 markets.

Blue Owl is an asset manager with over $307 billion in assets under management, providing private capital solutions across credit, real assets, and GP strategic capital. It invests through permanent capital vehicles and private funds, including direct lending, GP financing, and real estate sale-leaseback transactions.

Deal Details and Timeline:

The deal is expected to close in the second or third quarter of 2026.

During the pendency of the transaction, Sila intends to pay up to two regular quarterly dividends.

BofA Securities advised Sila Realty Trust on the financial side of the merger, while Hogan Lovells US handled its legal matters. Blue Owl received financial advice from Citigroup Global Markets and Truist Securities, and its legal work was handled by Kirkland & Ellis.

Blue Owl is acquiring Sila Realty Trust at 11.89 times its funds from operations.
