Searchlight Capital Partners and Abry Partners - KORE Group Merger

KORE Group Holdings, Inc. (KORE) entered a merger agreement on February 27, 2026, to be acquired by Searchlight Capital Partners, L.P., and Abry Partners for $726 million.

Deal Structure:

Searchlight and Abry will acquire all issued and outstanding shares of KORE common stock at an all-cash price of $9.25 per share, representing a premium of 84.63% from the stock’s last close.

Company Profile:

KORE is an IoT solutions provider delivering connectivity, device management, and managed services that simplify and scale mission-critical Internet of Things deployments.

Searchlight is a private investment firm with more than $18 billion in assets under management and offices in New York, London, Miami, and Toronto.

Abry Partners is a sector-focused private equity investment firm in North America. The firm manages $16 billion of assets across several fund strategies.

Deal Details and Timeline:

In November last year, Searchlight and Abry offered to acquire KORE for $5 per share. The stock was trading at $3.98 before the offer was made public.

The deal is expected to close during the second or third quarter of 2026.

KORE was advised by Rothschild & Co as financial advisor and by Richards, Layton & Finger and Troutman Pepper Locke as legal counsel. Meanwhile, TD Cowen acted as financial advisor to Searchlight and Abry Partners, with legal counsel provided by Wachtell, Lipton, Rosen & Katz and Kirkland & Ellis.

The deal values KORE at 0.62 times sales.
