Merger Arbitrage

1. SPR: Spirit AeroSystems (SPR) received a private letter ruling from the Internal Revenue Service (IRS) regarding the tax treatment of its proposed merger with Boeing (BA). In the ruling, the IRS stated that the merger will qualify as a “reorganization” under the Internal Revenue Code.
2. VRN: The acquisition of Veren (VRN) by Whitecap Resources was completed on May 12, 2025. It took 63 days for the deal to be completed.
