Merger Arbitrage

1. CHX: The UK’s Competition and Markets Authority (CMA) announced the launch of the merger inquiry into Schlumberger Limited’s (SLB) acquisition of ChampionX Corporation (CHX). The initial period will commence on January 30, 2025. The CMA will announce its decision on whether to refer the merger for a phase 2 investigation by March 27, 2025.
2. JNPR: Bloomberg reported that Hewlett Packard Enterprise (HPE) representatives met with Donald Trump’s antitrust enforcers on January 28 over its $14 billion bid to buy Juniper Networks (JNPR). HPE and Juniper representatives discussed the US Justice Department’s concerns about the deal with Omeed Assefi, the official temporarily overseeing antitrust enforcement at the agency.
3. AE: Shareholders of Adams (AE) approved the company’s merger with Tres Energy at a special meeting of shareholders. The merger is expected to close in early February 2025.
