Merger Arbitrage

1. TWKS: The acquisition of Thoughtworks Holding Inc. (TWKS) by Apax Partners LLP, for a closing value of $1.75 billion. Under the terms of the agreement, an affiliate of funds advised by Apax Partners LLP will purchase all of the outstanding shares of Thoughtworks for $4.40 per share.
2. EDR: Endeavor (EDR) filed the preliminary information statement for its merger with Silver Lake. The companies expect the merger to be completed by the end of the first quarter of 2025.
3. FREE: The acquisition of Whole Earth Brands (FREE) by Sababa Holdings was completed on August 5, 2024. It took 174 days for the deal to be completed.
