Merger Arbitrage SLCA: The acquisition of U.S. Silica (SLCA) by Apollo Funds (APO) for a closing value of $1.85 billion. Under the terms of the agreement, U.S. Silica stockholders will receive $15.50 per share in cash from funds managed by affiliates of Apollo. ICLK: iClick Interactive Asia Group Limited (ICLK) announced that they have sent a notice of termination to TSH Investment Holding Limited notifying them that they are exercising its right to terminate the Merger Agreement and demanding TSH to pay the termination fee of $1.8 million by May 9, 2024. As a result of the termination of the Merger Agreement, the proposed merger will not be completed. EVBG: Shareholders of Everbridge (EVBG) approved the company’s merger with Thoma Bravo at a special meeting of shareholders. HES: Hess Corp (HES) filed a definitive proxy statement. The special meeting of shareholders will be held on May 28, 2024. WRK: WestRock Company (WRK) filed a definitive proxy statement. The special meeting of shareholders will be held on June 13, 2024.
