Merger Arbitrage

1. ROVR: Rover Group to be acquired by Blackstone for $2.3 billion or $11 per share in cash.
2. CHS: Chico’s FAS announced that the special meeting of shareholders will be held on January 3, 2024. Chico’s FAS and Sycamore Partners made the filings required under the HSR Act on October 13, 2023. The waiting period expired on November 13, 2023.
3. LBC: Luther Burbank Corporation (LBC) and Washington Federal (WAFD) mutually agreed to extend the Outside Date of the Merger Agreement from November 30, 2023, to February 29, 2024, in accordance with the terms of the Merger Agreement. The consummation of the Merger remains subject to the receipt of approvals from the Federal Deposit Insurance Corporation and the Board of Governors of the Federal Reserve System.
