Merger Arbitrage

  1. BMBL: The acquisition of Bumble Inc. (BMBL) by Ithaca Holdings for a closing value of $1.3 billion. Bumble common shareholders will receive cash consideration of $6.05 per share of Class A common stock, representing a premium of 59.21% over the stock’s last close. (Press Release)
  2. KVUE: The European Commission approved the proposed acquisition of Kenvue (KVUE) by Kimberly-Clark (KMB), conditioned upon divestment of all its tampon and other feminine hygiene brands in the European Economic Area (EEA). The Commission had concerns that the deal would reduce competition in the Czechia, Estonia, and Slovakia markets for the supply of tampons. The brands covered by the divestment are Kotex (including the Lidie sub-brand), Camelia, and Record.
  3. LCII: LCI Industries (LCII) announced that on October 9, it received a request for additional information and documentary material (Second Request) from the DOJ.
