Artemis Gold to Acquire Vista Gold for $427 Million

Artemis Gold Inc. (ARGTF) has announced its intentions to merge with Vista Gold Corp. (VGZ), in a transaction estimated at $427M.

Deal Structure:

Vista Gold shareholders will receive 0.0966 common shares of Artemis Gold for each Vista Gold common share.

The exchange ratio implies consideration of $2.83 per Vista Gold common share, representing a premium of 25.22% from the stock’s last close.

Company Profile:

Vista Gold is a gold development company focused on the assessment, acquisition, exploration, and advancement of gold projects. Its primary asset is the Mt Todd gold project in Australia’s Northern Territory.

Artemis Gold is a gold and silver mining company focused on the development and operation of precious metals projects. Its primary asset is the Blackwater Mine in British Columbia, Canada.

Deal Details and Timeline:

Artemis Gold currently owns 4.95% of Vista Gold’s outstanding shares.

Existing Artemis Gold and Vista Gold shareholders will own approximately 95% and 5%, respectively, of the combined company.

The merger completion is expected in Q1 2027.

CIBC Capital Markets is serving as financial advisor to Vista Gold, with Stikeman Elliott and Davis Graham & Stubbs serving as its legal advisors. BMO Capital Markets is advising Artemis Gold on the financial side, while Blake, Cassels & Graydon and Paul, Weiss, Rifkind, Wharton & Garrison are serving as its legal advisors.
