Merger Arbitrage

1. ATAI: The acquisition of AtaiBeckley Inc. (ATAI) by Eli Lilly and Company (LLY) for a closing value of $2.8 billion. Lilly will acquire all outstanding shares of AtaiBeckley common stock for $6.75 per share in cash, plus up to $2.5 per share in the form of a CVR. The cash consideration of $6.75 per share represents a premium of 25.93% from the stock’s last close. (Press Release)
2. DSGR: The acquisition of Distribution Solutions Group, Inc. (DSGR) by LKCM Headwater Investments, LLC for a closing value of $2.64 billion. Newly formed entities controlled by LKCM will acquire DSG for $35 per share in cash, representing a premium of 27.37% from the stock’s last close. In March, LKCM submitted a non-binding proposal to acquire all of the outstanding shares of Distribution Solutions Group for $29.5 per share in cash. (Press Release)
3. ALOT: AstroNova (ALOT) filed the preliminary proxy statement for its acquisition by Arcline Investment. The company expects the merger to be completed in 2026.
