Payoneer Global Inc. (PAYO) entered a merger agreement to be acquired by Nuvei in a deal valued at $2.75 billion.

Deal Structure:

As per the merger agreement, Nuvei is set to acquire Payoneer Global Inc. at a cash price of $7.40 per share. This acquisition price represents a premium of 9.63% over Payoneer Global Inc.’s closing price on the day prior to the announcement.

Nuvei is a Canada-based global payment technology company that provides modular, scalable infrastructure enabling businesses to accept payments, manage payouts, and access card issuing, risk, and fraud management services. With a presence spanning 190+ countries, local acquiring in 52 markets, 150 currencies, and over 720 alternative payment methods, Nuvei offers one of the broadest payment coverage footprints in the industry.

Payoneer Global is a U.S.-based financial platform specializing in cross-border business payments and global commerce.

Deal Details and Timeline:

The acquisition is expected to be completed by June 2027.

On June 9, 2026, Reuters reported that Canadian payments firm ​Nuvei was in advanced talks to acquire Payoneer Global (PAYO) for about $2.7 billion. The stock was trading at $5.14 when the potential rumor was revealed.

Payoneer Global Inc. sought financial advisory from Qatalyst Partners, while Davis Polk & Wardwell provided legal counsel. On the other hand, Nuvei received financial guidance from Goldman Sachs / Barclays Capital, and legal advice from Simpson Thacher & Bartlett / Stikeman Elliott.

Nuvei is purchasing Payoneer Global Inc. at 2.12 times its sales and 9.6 times EBITDA.
