
Global advertising and public relations company, Publicis Groupe, entered a merger agreement to acquire data technology company, LiveRamp Holdings, Inc. (RAMP) in a deal valued at $2.17 billion.
Publicis Groupe will acquire LiveRamp for an acquisition price of $38.5 per share, representing a 29.8% premium from the stock’s last close.
LiveRamp Holdings is a data connectivity and identity resolution company that helps businesses manage, match, and use customer data across advertising and marketing platforms. It serves industries including financial services, retail, healthcare, telecom, and government.
Publicis Groupe is a global advertising, media, and marketing technology company that provides services including digital advertising, media buying, data analytics, consulting, and business transformation solutions for enterprises across industries. The company is headquartered in Paris and operates through brands including Publicis Media, Publicis Sapient, Epsilon, and Publicis Health.
Scott Howe will continue leading LiveRamp as CEO, reporting directly to Arthur Sadoun, the CEO of Publicis Groupe.
The transaction is expected to close before year-end 2026.
Publicis plans to pay for the acquisition using its existing cash and some borrowing, while keeping its credit ratings stable at BBB+ / Baa1 levels. The company also expects to reduce the extra debt and return to normal debt levels within two years after the deal closes.
Evercore is serving as financial advisor to LiveRamp, while Sullivan & Cromwell is acting as legal counsel. Meanwhile, BofA Securities is advising Publicis on the financial aspects of the transaction, with Wachtell, Lipton, Rosen & Katz serving as legal advisor.
Publicis is paying approximately 2.97 times sales for LiveRamp.
