Merger Arbitrage
- RAMP: The acquisition of LiveRamp Holdings, Inc. (RAMP) by Publicis Groupe for a closing value of $2.17 billion. Publicis Groupe will acquire LiveRamp for an acquisition price of $38.5 per share, representing a 29.8% premium from the stock’s last close. (Press Release)
- TWO: George Assad, a shareholder of Two Harbors (TWO), filed a lawsuit against the company and its directors in the United States District Court for the District of Maryland (Northern Division), for allegedly violating federal securities laws during a proposed merger. Assad claims the company issued misleading proxy statements to convince stockholders to accept a lower-priced buyout from CrossCountry.
- SSTK: UK CMA conditionally clears Getty’s (GETY) merger with Shutterstock (SSTK). The CMA independent inquiry group concluded that the deal can proceed if Shutterstock sells its editorial business.
