
Inventurus Knowledge Solutions, Inc. entered a merger agreement on April 23, 2026, to acquire TruBridge, Inc. (TBRG) in an all-cash deal valued at $557.27 million.
TruBridge shareholders will receive $26.25 in cash for each share of common stock, representing a premium of 14.83% from the stock’s last close.
TruBridge is a healthcare technology and services company that provides revenue cycle management, electronic health records, and patient engagement solutions to hospitals and clinics. It primarily serves community healthcare providers with software, IT services, and analytics to manage operations and patient care.
Inventurus Knowledge Solutions is a healthcare services and technology company that provides administrative, clinical, and operational support solutions to healthcare providers. It uses a mix of technology, including AI, and human services to improve workflows, revenue cycle management, and care delivery, and is part of the IKS Health group headquartered in India.
The deal is expected to close during the third quarter of 2026.
TruBridge has entered into voting and support agreements with its largest shareholders, Pinetree Capital, L6 Holdings, and Ocho Investments. The shareholders have committed to vote the shares they control, representing about 27% of TruBridge’s outstanding common stock, in favor of the deal.
IKS will pay for the acquisition mainly by taking on new debt, including a loan arranged by Citibank, JPMorgan Chase, and Deutsche Bank.
Solomon Partners Securities served as financial advisor to TruBridge, while legal counsel was provided by Sullivan & Cromwell, Maynard Nexsen, and Cyril Amarchand Mangaldas. For IKS Health, financial advisory services were provided by J.P. Morgan Securities and Citigroup Global Markets India Private Limited, with legal counsel from Katten Muchin Rosenman and Shardul Amarchand Mangaldas.
IKS Health is paying 13.38 times EBITDA for TruBridge.
