
Olaplex Holdings, Inc. (OLPX) entered into a merger agreement on March 26, 2026, to be acquired by Henkel AG, a Germany-based company, in a deal valued at $1.4 billion.
Olaplex will be acquired by Henkel for $2.06 per share in a cash transaction, representing a premium of 54.89% from the stock’s last close.
Olaplex is a hair care company that develops and sells products like shampoos and conditioners. It distributes its products globally through salons, retail stores, and direct-to-consumer channels.
Henkel is a global consumer goods and industrial company that manufactures and sells products such as adhesives, sealants, laundry and cleaning products, and hair care items. It operates worldwide through its consumer brands and adhesive technologies businesses, serving both industrial customers and everyday consumers.
In January, Bloomberg reported that Henkel had submitted a takeover offer for Olaplex. The stock was trading at $1.35 before the rumor was reported.
After the deal is completed, the company will keep operating under the Olaplex name and brand. Advent International will completely exit its investment in the company at that time.
The deal is expected to close in the second half of 2026.
J.P. Morgan Securities served as the lead financial advisor to Olaplex, while Ropes & Gray acted as its legal advisor.
Henkel is acquiring Olaplex at 20.49 times its EBITDA value.
