Merger Arbitrage

1. TALK: The acquisition of Talkspace, Inc. (TALK) by Universal Health Services, Inc. (UHS) for a closing value of $835 million. Universal Health Services will acquire Talkspace for $5.25 per share, representing a premium of 10.29% from the stock’s last close. (Press Release)
2. DVS: Dolly Varden Silver (DVS) announced that two leading independent proxy advisory firms, including Institutional Shareholder Services (ISS), have recommended that shareholders vote “FOR” the company’s merger with Contango (CTGO).
3. CVGW: Mission Produce (AVO) filed Form S-4 for the acquisition of Calavo (CVGW). The companies expect to complete the merger in the third quarter of 2026.
