Merger Arbitrage

  1. MBCN: Farmers National Banc (FMNB) announced that Institutional Shareholder Services (ISS), an independent proxy advisory firm, has recommended shareholders vote “FOR” all proposals at the Special Meeting of Shareholders, including the company’s proposed merger of Middlefield Banc (MBCN) into Farmers.
  2. KVUE: Kimberly-Clark (KMB) and Kenvue (KVUE) announced that their shareholders voted overwhelmingly to approve all of the proposals necessary for Kimberly-Clark to complete its acquisition of Kenvue. The transaction is expected to close in the second half of 2026.
  3. WBD: Bloomberg reported that documentary filmmakers, independent movie theaters, and nonprofit groups are urging state attorneys general to block Netflix’s (NFLX) acquisition of Warner Bros. Discovery’s (WBD) studio and streaming businesses. The deal will increase prices for consumers, restrict competition in Hollywood, and be devastating for movie theaters, according to a letter they sent to the National Association of Attorneys General.
