Merger Arbitrage

1. EA: Electronic Arts (EA) filed a definitive proxy statement. The special meeting of shareholders will be held on December 22, 2025.
2. RPTX: Repare Therapeutics (RPTX) announced that for its merger with XenoTherapeutics, certain entities affiliated with BVF Partners, Blue Owl Healthcare Opportunities, and certain entities affiliated with OrbiMed have each entered into a support and voting agreement under which they have agreed to vote their common shares in favor of the special resolution approving the deal. Shareholders owning approximately 40% of Repare’s outstanding shares have now agreed to vote in favor of the deal.
3. ATXS: BioCryst (BCRX) filed Form S-4 for the acquisition of Astria (ATXS). The companies expect to complete the merger in the first quarter of 2026.
