
Adobe Inc. (ADBE) entered a merger agreement on November 19, 2025, to acquire Semrush Holdings, Inc. (SEMR) for $1.9 billion.
Adobe will acquire Semrush in an all-cash transaction for $12 per share, representing a premium of 77.51% from the stock’s last close.
Semrush is a Boston-based SaaS platform that helps businesses improve online visibility by providing tools for SEO, advertising, content, social media, and competitive research. It enables companies to identify the right audience, analyze trends, and measure digital marketing performance across channels.
Adobe is a global software company that provides creative, digital media, and customer experience solutions, best known for Creative Cloud and its suite of tools that enable content creation, document management, and enterprise digital experience optimization.
The deal is expected to close in the first half of 2026.
Semrush was advised by Centerview Partners on financial matters, with Davis Polk & Wardwell serving as legal counsel. Adobe received legal guidance from Wachtell, Lipton, Rosen & Katz.
The acquisition cost for Adobe stands at 2.33 times the sales for Semrush.
